Corporate/commerical/transactional Attorney
Chesapeake, VA

Responsibilities:
• Provide legal advice and counsel to clients on corporate and transactional matters, including contract interpretation and negotiation;
• Represent clients in corporate, business and real estate transactions;
• Draft and review contracts, including corporate governance documents, shareholder agreements, LLC operating agreements, and purchase and sale agreements;
• Assist clients with business formation, structuring, and compliance;
• Represent clients in mergers and acquisitions;
• Advise clients on business and real estate law matters;
• Advise clients on corporate governance, including strategic planning and implementation of corporate policies;
• Assist with due diligence review;
• Prepare and review legal documents;
• Negotiate and resolve disputes;
• Manage client relationships; and
• Assist with other matters as needed.

Qualifications:
• Licensed to practice law in Virginia;
• 5 years of corporate law experience;
• Experience in business formation, structuring, and compliance;
• Ability to manage multiple projects and deadlines;
• Excellent research and writing skills;
• Strong interpersonal and client relationship skills; and
• Ability to work independently and in a team environment.

Pender & Coward, a law firm, is seeking a Virginia licensed attorney with 5 years of corporate law experience to join the firm's corporate and transactional team. This is a partner or of counsel position in the firm’s Virginia Beach, Chesapeake or Suffolk offices depending on the applicant’s preference.

Heading 2: Responsibilities and Qualifications

The successful candidate will be responsible for providing legal advice and counsel to clients on corporate and transactional matters, representing clients in corporate, business and real estate transactions, drafting and reviewing contracts, assisting clients with business formation, structuring, and compliance, representing clients in mergers and acquisitions, advising clients on business and real estate law matters, and assisting with due diligence review.

The successful candidate must be licensed to practice law in Virginia and have 5 years of corporate law experience. They must also have experience in business formation, structuring, and compliance, the ability to manage multiple projects and deadlines, excellent research and writing skills, strong interpersonal and client relationship skills, and the ability to work independently and in a team environment.
