Associate Corporate Counsel, Contracts
Alameda, CA Associate Corporate Counsel, Contracts - Providing Legal Support to Research and Development Organizations Job Purpose: The Associate Corporate Counsel, Contracts provides transactional legal support to the Research and Development organizations and other departments at our company. They assist senior members of the Legal team in drafting, reviewing, and negotiating a variety of contracts, as well as serving as a legal resource for clinical and operational issues. This role also involves identifying and communicating potential risks to internal decision-makers and working with external organizations to facilitate clinical trials. Essential Duties and Responsibilities: - Draft, review, and negotiate a wide range of contracts in support of Research and Development, including confidentiality agreements, consulting agreements, clinical trial agreements, and vendor services agreements. - Review and provide input on clinical trial-related documents and serve as a legal resource for discovery, development, and clinical teams. - Advise and troubleshoot existing agreements and operational arrangements. - Identify and communicate operational and legal risks to internal decision-makers. - Effectively interact with internal clients to address legal and business questions. - Interface with external organizations to facilitate clinical trials. - Implement organizational or team objectives and interpret company policies. - Assist in developing solutions to complex problems. - Handle miscellaneous legal tasks as needed under the direction of senior attorneys. Education/Experience: - BS/BA degree, preferably in life sciences or a related field. - JD degree required and must be admitted to practice, preferably in California. - 1-3 years of experience as an attorney in a law firm or in-house legal environment in the biotechnology or pharmaceuticals industry. - 1-3 years of contract drafting and negotiation experience required. - Clinical trial contract drafting and negotiation experience desired. Knowledge/Skills: - Excellent verbal and written communication skills. - Strong computer skills, including Microsoft Office Suite and CompareDocs. - Detail-oriented and highly organized. - Ability to handle multiple tasks and prioritize effectively. - Responsible and conscientious. - Able to work under pressure and meet deadlines. - Works well independently and in a team environment. - Dedicated to quality and highest professional standards. - Self-starter and quick learner. - Good judgment. Working Conditions: - Primarily indoor work, including clerical tasks and meetings. - Some travel may be required. Compensation: Our compensation reflects the cost of labor across several U.S. geographic markets, and we pay differently based on those defined markets. The base pay range for this position is $164,000 - $234,000 annually, and may vary based on the candidate's geographic region and work location. In addition to the base salary, we offer a comprehensive employee benefits package, including a 401k plan with generous company contributions, group medical, dental, and vision coverage, life and disability insurance, and flexible spending accounts. Employees may also be eligible for a discretionary annual bonus or sales-based incentive plan, and have the opportunity to purchase company stock and receive long-term incentives. We also offer 15 accrued vacation days in the first year, 17 paid holidays including a company-wide winter shutdown in December, and up to 10 sick days throughout the calendar year.
