Associate General Counsel Professional Job Summary:

**MEMBERS ONLY**SIGN UP NOW***, Inc. is seeking an experienced Associate General Counsel to join our legal team. This individual will work closely with the General Counsel and Deputy General Counsels to provide strategic legal advice and support across the organization. The Associate General Counsel will be responsible for drafting and negotiating complex commercial agreements with enterprise customers, as well as collaborating with cross-functional teams to protect the company's legal interests and achieve business objectives. The ideal candidate will have a Juris Doctor degree, at least 5 years of experience in corporate law, and strong drafting and negotiation skills. Experience in payments or banking is preferred.

Responsibilities:

- Draft, review, and negotiate a variety of complex commercial agreements, including M&A transactions, services agreements, joint ventures, and partnerships.
- Provide risk assessments and advise on deal structures for proposed transactions.
- Advise internal stakeholders on legal risks related to payment services.
- Collaborate with cross-functional teams to solve regulatory and novel issues in the payments industry.
- Create and improve contract processes and policies for the company.

Minimum Requirements:

- Juris Doctor degree from an accredited law school and active bar membership.
- Minimum of 5 years of experience in corporate law, preferably in a major law firm or in-house counsel role.
- Experience managing legal matters related to commercial contracts and mergers and acquisitions.
- Strong drafting, strategic thinking, and decision-making skills.
- Excellent communication, negotiation, and interpersonal skills.
- Ability to thrive in a fast-paced environment and manage multiple priorities.

Preferred:

- Experience in payments or banking or working within a highly regulated industry.
- Strong project management skills with attention to detail.

Compensation and Benefits:

- Salary range: $175,000 - $200,000.
