We are currently seeking an experienced lateral attorney to join our team and provide top-quality legal services to our clients. Position Summary As a lateral attorney in our corporate transactional department, you will be responsible for performing complex and specialized assignments for our clients. This includes structuring, drafting, and negotiating related documents, as well as providing counsel on mergers and acquisitions, business succession planning, and corporate governance. You will work collaboratively with our team in a fast-paced and challenging environment. Essential Functions • Represent clients in complex transactional matters, including drafting and negotiating agreements and buy/sell agreements. • Counsel clients on mergers and acquisitions, due diligence, business succession planning, and corporate governance. • Assist clients in the formation and structuring of new business ventures. • Analyze and provide opinions on highly complex legal issues. • Generate new clients through individual and firm-wide networking and marketing efforts. Requirements • Minimum 7-10 years of experience in corporate, business, and transactional law. • Admission to the New Jersey Bar. • Strong financial background (preferred). • Excellent time management, prioritization, and organizational skills. • Clear and effective communication skills, both written and oral. • Strong drafting skills. • Ability to work independently and efficiently. • Strong interpersonal skills and ability to maintain effective working relationships. • Self-motivated and entrepreneurial mindset. • Commitment to staying updated on the latest legal techniques.
