Napa, CA Compensation range for Oregon: $144,000 -$190,000 Compensation range for Texas: $144,000 -$190,000 Corporate Counsel: Negotiating, Drafting, and Reviewing Contracts for Moss Adams (Job Number: 27342) Employee Status: Regular Schedule: Full Time Primary Location: Seattle, WA Other Locations: Napa, CA, Pasadena, CA, Woodland Hills, CA, San Diego, CA, Bellingham, WA, Denver, CO, Walnut Creek, CA, El Segundo, CA, San Francisco, CA, Everett, WA, Phoenix, AZ, Healdsburg, CA, Tri-Cities, WA, Santa Rosa, CA, Albuquerque, NM, Salinas, CA, Kansas City, KS, Salt Lake City, UT, Spokane, WA, Orange County, CA, Eugene, OR, Tacoma, WA, Wenatchee, WA, Medford, OR, Dallas, TX, Yakima, WA, Stockton, CA, Silicon Valley, CA, Sacramento, CA, Portland, OR, Fresno, CA, Houston, TX Description: - Negotiating, drafting and reviewing a variety of firm contracts including engagement letters, master services agreements, and employment agreements. - Assisting in addressing conflicts of interest and training firm personnel on risk matters. - Conducting legal research and providing analysis to leadership. - Preparing and delivering training, memorandums, and presentations on legal matters. - Serving as a resource for special projects. Responsibilities: - Negotiate, draft and review firm contracts including: engagement letters, master services agreements, confidentiality agreements, professional services agreements, government contracts, request for proposals, independent contractor agreements, nondisclosure agreements, conflict waiver agreements, business associate agreements, employment agreements and vendor contracts. - Analyze and properly document conflicts of interest involving the firm and its clients. - Address employment issues, professional liability matters, and support the Legal group and the Professional Practice Group as-needed on projects concerning firm policies, procedures, and risk management. - Conduct legal research and apply research to facts and communicate analysis to leadership. - Identify legal risk issues and propose a plan to mitigate and prevent routine legal risks. - Serve as a resource to more experienced counsel for special projects. - Prepare and deliver training, memorandums, and presentations to employees, management, executives, or other members of the Legal Department on legal matters. Qualifications: - Bachelor’s degree and Juris Doctorate degrees required. - Washington Bar membership preferred. - Minimum 5 years of legal experience required, with an emphasis on contract drafting; negotiation experience preferred. - Corporate transactional and litigation experience preferred. - Highly developed writing, editing and drafting skills that apply across all areas of contract focus. - Strong negotiating skills, including experience with shaping strategy and focus across the firm. - Excellent analytical abilities and attention to detail, ability to analyze complex financial deals and contract terms. - Experience effectively working with senior leadership to execute a task. - Ability to collaborate with others and influence when necessary. - Understanding of accounting principles preferred. - Strong written and verbal communication skills when communicating at all levels within team and across the firm. - Ability to travel as needed, approximately 5-10%.
