Corporate Counsel, Commercial
Milpitas, CA The company SGH is looking for a motivated and dynamic Commercial Counsel to join their legal team in Milpitas, CA. As a Commercial Counsel, the selected candidate will be responsible for driving contracts to closure and spearheading initiatives to implementation while ensuring the highest quality of work. This role is ideal for someone early in their career with a can-do attitude and a growth mindset. The selected candidate will report directly to the Vice President and Deputy General Counsel. As a Commercial Counsel at SGH, the selected candidate can expect to gain broad experience in hardware, software, and managed services transactions, enhancing their legal expertise and career trajectory. Key responsibilities for this role include drafting, reviewing, negotiating, and finalizing a variety of commercial contracts, with a primary focus on commercial transactions for the Stratus and Penguin business units. The selected candidate will also work closely with internal stakeholders, including sales, procurement, finance, and operations teams, to facilitate the smooth and efficient execution of contracts and initiatives. They will be responsible for identifying and mitigating legal risks associated with commercial transactions and providing strategic advice to minimize potential liabilities. Additionally, the selected candidate will assist in the development and implementation of company policies and procedures to ensure compliance with legal and regulatory requirements. They will also be expected to proactively identify opportunities to improve contract processes and operational efficiencies. The ideal candidate for this role will have a Juris Doctor (JD) from an accredited U.S. law school and an active member in good standing of a U.S. state bar. They should have 3-5 years of relevant legal experience, with a focus on commercial transactions, technology, and managed services. Strong negotiation, drafting, and analytical skills are required, along with excellent communication and interpersonal skills. The selected candidate should strive for high-quality work product provided efficiently with a growth mindset and be willing to be mentored and continuously improve their skills. They should also have a demonstrated ability to work independently and as part of a team, be proactive, adaptable, and able to thrive in a fast-paced, dynamic environment. A sense of humor and a passion for commercial work are also desirable qualities. This is a hybrid role, with the selected candidate expected to work onsite 2-3 days per week at SGH's Milpitas, California headquarters in the San Francisco Bay Area. Travel is not required for this role. The company offers a competitive compensation and benefits package, including an annual base salary of $155,000 - $180,000, which may vary based on business considerations. The position is bonus and equity eligible, with medical, dental, and vision benefits available.
