POSITION OVERVIEW The primary responsibility of the VP - Sr Associate General Counsel, Securities & Corporate Affairs is to provide advice and guidance for SEC and NYSE reporting and compliance, corporate governance matters, corporate secretarial support, domestic and international entity management, capital markets matters, and will provide legal support to accounting, finance, treasury, tax, investor relations, and corporate communications functions. ESSENTIAL DUTIES & RESPONSIBILITIES *Participate in the drafting and reviewing of all periodic reports including Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC related forms and filings including Forms 3, 4 and 5. *Provide legal support in connection with stockholder relations, including stock issuance, dividends, transfer operations, and manages equity plan. Assists Investor Relations with the annual stockholder meeting, annual reports, earnings and press releases, scripts and investor decks for use in earnings calls. *Work with Finance, Treasury, and Tax teams on banking and investment matters, intercompany agreements, tax planning, internal controls, and enterprise risk management and support financing transactions, and stock repurchases. *Ensure compliance with Board and Committee policies and charter documents. *Provide corporate secretarial support to the Board and its Committees. *Oversee maintenance of key corporate documents and records and correspondence with the Board. *Advise on all corporate disclosure matters and compliance with the relevant corporate laws, stock exchange listing standards, SEC reporting and compliance rules and regulations, and related corporate policies. *Provide legal support for corporate and securities transactions, including financings, and equity/debt offerings. *Oversee domestic and international subsidiary portfolio. *Oversee outside securities counsel. *Provide general support for General Counsel on legal matters for the company. *Safety is an essential of this job. *Consistent and regular attendance is an essential function of this job. *Performs other related duties as assigned.

MINIMUM QUALIFICATIONS *21 years of age. *Proof of authorization to work in the United States. *Juris Doctorate degree. *Must be able to obtain and maintain the Nevada Gaming Registration and any other certification or license, as required by law or policy. *10 plus years of experience in corporate governance and SEC reporting. *Foundational top tier law firm and/or In-house counsel experience required. *Must have exceptional communication and organizational skills and be detail oriented. *Must be able to function independently and as part of cross-functional teams. *Ability to communicate clearly and effectively in English, both in spoken and written form. *Strong interpersonal skills with the ability to communicate effectively with guests and other Team Members of different backgrounds and levels of experience. *Must be able to work varied shifts, including nights, weekends and holidays.
