Job Title: VP, Deputy General Counsel Department: Legal Experience: 7 years of relevant legal experience Salary: $174,500 - $262,000 Location: New Brighton, MN

We are currently seeking an experienced attorney to join our legal team in the role of VP, Deputy General Counsel.
In this role, you will provide legal advice and support for corporate strategic initiatives, reporting directly to the General Counsel. You will work closely with the leadership team, providing guidance on M&A, corporate governance, securities disclosure, and capital markets transactions. Your responsibilities will also include managing the legal aspects of M&A and other strategic transactions, as well as assisting with capital-raising and refinancing transactions. This role will also involve working closely with the Board of Directors and its committees.
Key Responsibilities:
M&A/Transactions: - Serve as key legal advisor on significant business transactions such as mergers, acquisitions, and joint ventures - Negotiate and draft transaction documents for acquisitions, divestitures, and joint ventures - Manage transaction closing process
Corporate/Governance: - Support the work of the Board and its committees by advising on governance-related matters - Review and update corporate governance documents, policies, and practices - Advise on investor relations matters and administer Insider Trading Policy
SEC Compliance/Securities/Corporate Finance: - Assist in all securities law, NYSE, and SEC reporting/compliance matters - Support corporate finance transactions such as debt and equity offerings - Assist with SOX compliance matters
Experience/Qualifications:
- 7 years of relevant legal experience, including experience at an Am Law 100 firm and in-house at a publicly listed company - J.D. degree from a top law school and member of at least one U.S. state bar association - Significant experience in M&A, due diligence, and general corporate and corporate governance matters - Understanding of public company governance, disclosure, and reporting requirements - Experience in corporate financing and capital markets transactions
