**MEMBERS ONLY**SIGN UP NOW*** is seeking a highly motivated and skilled Transactional Paralegal to join our dynamic legal team. You will provide legal support on a broad spectrum of real estate and capital market transactions. The ideal candidate will have excellent drafting and analytical skills, strong attention to detail, a high level of organization, strong verbal and interpersonal skills, and a proven track record in a high-growth, tech, startup environment. Bonus points if you have past experience working with data centers.

Responsibilities:
Support intake, review, drafting, and negotiation of real estate contracts, including leases, PSA’s construction agreements, and all documents related to mortgage financing. Conduct and manage due diligence process, including title, survey, zoning, and environmental reports in connection with real estate transactions and document review and production in connection with capital markets transactions. Organize and facilitate closings, including drafting and reviewing a wide range of closing documents, and oversee post-closing activities of real estate, M&A and capital markets transactions. Maintain deal pipeline database and communicate with internal and external stakeholders to advance transactions to close. Prepare and review confidentiality agreements, broker agreements, LOI, estoppel certificates, SNDA’s, and all ancillary real estate documents. Review and assist with compliance requirements of loan documentation, joint venture agreements, and purchase agreements. Assist in the review of various corporate entities, review of charter documents, and the integration of acquired companies. Legal research and analysis of statutes, regulations, and legal precedent to support decision-making processes. Assisting and collaborating on matters in a variety of areas including general corporate matters and transactions, compliance, and data privacy.
Qualifications:
Bachelor's degree and/or paralegal certificate from an accredited institution. 5 years of relevant corporate legal experience with a focus on complex transactional work (including exposure to commercial contracts and leases), preferably in a similar role. Proficiency in Microsoft Office, Google Workspace, and contract lifecycle management tools, such as Ironclad or equivalent software. Comfortable and excited to work with technology platforms that support us as we go. Self-starter attitude and ability to think creatively and problem-solve in a dynamic environment. Strong interest in working in a fast-paced and innovative business. Ethical and professional conduct, proactive in balancing multiple work demands, taking personal responsibility for the quality and timeliness of their work, and maintaining confidentiality Meticulous attention to detail and accuracy. Effective communication skills (verbal and written) with the ability to develop positive working relationships (in-person and virtually).
Our compensation reflects the cost of labor across several US geographic markets. The base pay for this position ranges from $110,000-$145,000. Pay is based on a number of factors including market location and may vary depending on job-related knowledge, skills, and experience.
