Job Title: Sr. Corporate Counsel, Corporate Transactions #4036 Location: Menlo Park, CA Department: General & Administration – Legal Employment Type: Full-Time Hybrid
Overview: Join the dynamic and collaborative Legal Department at GRAIL as a Senior Corporate Counsel, supporting corporate transactions across the entire company. This role requires significant experience in reviewing, drafting, and negotiating procurement and commercial agreements in the life sciences industry. You will work closely with executive leaders and key business stakeholders, reporting to the Assistant General Counsel and Head of Commercial Law. This role currently has a hybrid onsite schedule, with two days per week in the Menlo Park headquarters.
Responsibilities: - Provide input on the vision and strategy of the Corporate Transactions team. - Draft, review, and negotiate a variety of agreement types typical of life sciences companies. - Support project-based legal assignments and initiatives, including template development and training. - Advise internal clients on contract interpretation, dispute resolution, and legal risks. - Assist with policy and procedure development and preferred positions for agreements. - Provide legal support for existing partnerships. - Develop strong working relationships with functional groups and project teams. - Work independently and identify ways to continuously improve templates, processes, and policies.
Preferred Qualifications: - US Law degree from accredited law school and active state bar membership or in-house counsel registration - 5-8 years of transactions experience, including national law firm and in-house life sciences experience - Experience in companion diagnostic and pharmaceutical transactions is a plus. - Familiarity with healthcare compliance and data privacy laws is a plus.

Salary Information: Expected full-time annual base pay scale for this position is $223K-$279K. Actual base pay will consider skills, experience, and location.
Experience and Education Requirements: - US Law degree from accredited law school and active state bar membership or in-house counsel registration - 5-8 years of transactions experience, including national law firm and in-house life sciences experience - Experience in companion diagnostic and pharmaceutical transactions is a plus. - Familiarity with healthcare compliance and data privacy laws is a plus.
