The Senior Transaction Counsel, APAC is a key role within **MEMBERS ONLY**SIGN UP NOW*** APAC, providing legal support and advice on a wide range of business, transactional, and corporate matters. The successful candidate will have a minimum of 6-8 years PQE experience and will report to the Managing Director, Lead Transaction Counsel, EMEA & APAC. This role requires strong legal and financial acumen, as well as the ability to work in a fast-paced and dynamic environment.
This is a full-time position, with the option for a hybrid remote work arrangement. The Senior Transaction Counsel will primarily be based in Sydney, Australia, but may be required to travel within Australia, New Zealand, and other APAC jurisdictions for deals, client meetings, and industry events. Occasional travel to Boston, US, and London, UK may also be required.
Key Responsibilities:
• Serve as the corporate and transaction counsel for **MEMBERS ONLY**SIGN UP NOW*** APAC, advising business leaders and deal teams on legal aspects of various business, transactional, corporate, and deal matters. • Participate as a core member of APAC deal teams, managing outside legal counsel and assisting with legal transaction due diligence. • Prepare, review, and negotiate legal documentation for lending, acquisition, commercial, and disposal transactions. • Provide training on key legal topics to APAC business leaders and deal teams. • Represent **MEMBERS ONLY**SIGN UP NOW*** APAC at client meetings and industry events. • Maintain and manage a network of outside counsel. • Support the General Counsel and Chief Compliance Officer in maintaining an APAC compliance program. • Act as compliance officer for KYC/AML in APAC. • Maintain legal responsibility for post-deal matters. • Attend transaction Investment Committees and In Flight Review Committees to provide input on insolvency, legal structuring, diligence, and documentation issues.
Qualifications:
• Minimum of 6-8 years PQE experience, including at least 6 years in a law firm. • Insolvency and restructuring experience required. • Finance, ABL, M&A, and/or litigation experience is a plus. • Australian law qualification required. Additional qualification in Singapore or New Zealand is a plus. • Experience with transactions in New Zealand, Singapore, Hong Kong, Malaysia, Vietnam, Philippines, or Indonesia is a plus.

• Experience with complex commercial and business transactions, including cross-border/multi-jurisdictional experience. • Strong business and financial acumen, with the ability to quickly assimilate complex information and engage in constructive dialogue with business leaders. • Exceptional, out-of-the-box thinker with a commercial mindset, who thrives in a dynamic, entrepreneurial, and transaction-driven environment. • Track record of balancing legal and business considerations, multi-tasking, problem-solving, and operating in a fast-paced and rapid growth environment. • Able to leverage transactional rigor from prior law firm experience, but also willing to work directly with the business and be part of business solutions. • Committed, collaborative, communicative, dependable, and reliable team player. • Strong listening skills and the ability to communicate pragmatically, clearly, and decisively. • Able to manage multiple projects, work under pressure, establish priorities, and focus on detail.
