Job Description
The Senior Counsel – North America Technology Contracts will be responsible for providing counsel and guidance to internal clients in the areas of technology, innovation, precision farming, and powertrain. This full-time position will report directly to the Vice President & General Counsel for North America and will work closely with the intellectual property team to ensure the effective execution of overall technology and innovation strategies. The successful candidate will have a J.D. and a current membership with the appropriate state bar, as well as a minimum of 5 years of related experience in a large corporate law firm, boutique technology and commercial contract firm, or in-house with relevant contracting and counseling experience. The annual salary for this role is $133,875 – $178,500 plus any applicable bonus, and the work arrangement will consist of a hybrid model of both in-person and remote work.
Key Responsibilities:
- Negotiate and draft supply, sales, and R&D agreements with a focus on technology, innovation, and precision farming. - Provide support for M&A and venture capital transactions, including due diligence, contract review, negotiation, and drafting. - Work closely with the intellectual property team to ensure cohesive execution of technology and innovation strategies and support for R&D and licensing agreements. - Stay current on legislation, regulations, and case law related to technology and commercial contract issues to mitigate business risk and ensure legal compliance. - Offer practical, business-focused advice to the executive team on technology and commercial contract matters. - Collaborate with business and legal teams to determine negotiation strategies with suppliers and other partners. - Manage outside counsel, fees, and case budgets when external support is needed. - Provide training to business clients on technology and commercial contract issues.
Qualifications:
- J.D. and current membership with a state bar association. - Minimum of 5 years of relevant experience. - Demonstrated ability to navigate complex issues and provide guidance to business teams. - Strong communication skills, both written and verbal. - Executive presence and the ability to provide timely and practical solutions. - Independent worker with excellent business judgment and the ability to meet deadlines. - Willingness to be available for clients and counsel outside of regular business hours when necessary.
Work Arrangements:
- This position can be based in Oak Brook, IL or Racine, WI. - Hybrid work arrangement including both in-person and remote work.
