AlphaTech Counsel, S.C. is a high-end, sophisticated law firm located in Madison, Wisconsin, focused on advising emerging companies in technology-enabled industries. We are seeking a seasoned attorney to join our team, with a strong background in representing startups and other companies in general corporate matters, venture capital transactions, and mergers and acquisitions (M&A). Duties and Responsibilities:
- Counsel emerging startups on early stage issues - Prepare and negotiate investment-related agreements and documents - Maintain knowledge of Regulation D and market terms in angel and venture capital transactions - Advise companies on corporate governance and fiduciary duty-related matters - Prepare various legal agreements and documents for company sales - Stay up-to-date on tax, intellectual property, employment, privacy, and related matters - Lead and train team members working with emerging technology-based companies

Qualifications:
- JD plus admission and good standing in a state bar - At least 10 years of full-time experience as a practicing attorney in Delaware corporate law, M&A, and corporate transactions - At least 5 years of experience in venture capital transactions - Excellent drafting and negotiation skills - Strong business acumen - Prior experience leading and scaling teams
