The M&A Consultant will report directly to the M&A Tax leader and have significant visibility to the partner in charge of the firm's Tax practice.
The role of Mergers and Acquisition Tax Consultant is essential in the M&A process, as it involves identifying potential tax exposures, communicating with clients and outside advisors, and providing tax planning and analysis for proposed transactions. The consultant will also assist with post-deal integration and review work for quality, accuracy, and relevance.
Key Responsibilities:
· Review financial statements and tax returns to identify potential tax exposures in proposed transactions · Participate in calls with clients and outside advisors to understand the business and potential tax issues · Communicate unusual tax exposures with internal team and participate in client communications · Assist with tax planning and analyze proposed transactions for alternative structures · Assist with post-deal integration and implement procedures to minimize future exposures · Conduct IRC section 382 ownership shift and limitation analyses · Review work for quality, accuracy, and relevance
Skills and Competencies:
· Experience in financial analysis for M&A transactions, including corporate M&A, private equity, and post-deal integration · Working knowledge of IRC section 382 and tax laws related to tax due diligence · Ability to research industry trends and provide insights for proposals · Strong critical thinking skills and ability to solve unstructured problems · Proficiency in using various tools and techniques to extract insights from industry trends
