Whitaker Chalk law firm is seeking a highly motivated and experienced Corporate Securities/Private Equity/M&A associate to join our dynamic team. This is an excellent opportunity for someone with 2-8 years of experience to join a prestigious law firm and work on complex and challenging transactions. Responsibilities:
- Assist in the drafting and negotiation of various corporate agreements, including mergers and acquisitions, private equity transactions, and securities offerings - Conduct legal research and provide analysis and recommendations to clients - Prepare and review due diligence materials and assist in the due diligence process - Participate in client meetings and calls, and communicate with opposing counsel - Review and analyze financial documents and assist in the preparation of financial models - Collaborate with other attorneys and team members to ensure efficient and effective completion of transactions - Stay up-to-date on industry and legal developments related to corporate securities, private equity, and M&A
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school - Admission to the state bar and in good standing - 2-8 years of experience in corporate securities, private equity, and/or M&A at a reputable law firm - Strong understanding of corporate laws and regulations - Excellent drafting and negotiation skills - Exceptional analytical and problem-solving abilities - Ability to work independently and in a team environment - Excellent communication and interpersonal skills - Strong attention to detail and ability to manage multiple tasks and deadlines - Proficiency in legal research and drafting legal documents - Experience with financial documents and financial modeling is a plus
