We are seeking a skilled and experienced Lead Legal Counsel to join our team. This role will be responsible for negotiating and managing contracts related to healthcare, privacy, security, and intellectual property for SS&C Health's lines of business. This position offers the opportunity for remote and hybrid work arrangements, with locations in various states including AL, AR, AZ, GA, IN, KY, LA, MN, NC, OK, SC, TN, TX.

Key Responsibilities:
Serve as a subject matter expert with a strong understanding of the business, legal, financial, and technical requirements of contracts related to SS&C Health's lines of business. Negotiate contractual provisions to meet company needs and maximize revenue while minimizing exposure and liability. Draft and manage contractual documents to establish the terms and conditions of business relationships with vendors, customers, and partners. Lead the contract negotiation process and collaborate with various departments within the organization. Document issues arising in contract negotiations and provide recommendations for resolution. Manage executed agreements to control costs, ensure compliance, and maintain service levels. Provide accurate and timely information on business, legal, financial, and technical requirements to assist management in making informed decisions. Consult and advise senior management. Work on complex contracts and issues, including using SS&C Health's or the customer's contract, unique issues and requests, special circumstances, and multiple business units. Create appropriate documents, such as non-disclosure agreements, trial agreements, letters of intent, etc. Negotiate contracts, draft terms and conditions, and redline contracts. Assist with contractual and legal requirements in Requests for Proposal and Requests for Information. Develop and maintain client/vendor relationships and interact with all levels of management. Create standard, template agreements for new services and software products.
Requirements:
At least 5 years of experience drafting, negotiating, managing, and advising on contracts, including service agreements, license agreements, and other transactional agreements. Familiarity with healthcare or privacy and security in relation to healthcare, such as HIPPA. Experience with software solutions, software licensing, intellectual property, or healthcare privacy and security is a plus. Business process outsourcing experience is a plus.

Salary Information:
The salary for this position is determined by various factors, including relevant work experience, job-related knowledge, skills, abilities, business needs, and geographic regions. The salary range for this position in New York and Colorado is $148,000 USD to $202,000 USD. The salary range for other states is also $148,000 USD to $202,000 USD.
