Reporting directly to the Chief Operating Officer, the General Counsel, Commercial will be responsible for mitigating legal risk across the company, managing contracts, and overseeing merger and acquisition activity. The ideal candidate will have 7-15 years of corporate law experience, with a focus on transactional commercial law and contract negotiations.
Key Responsibilities:
- Draft, review, and negotiate complex commercial contracts, including master service agreements, partnership deals, NDAs, and other agreements with clients, vendors, and business partners. - Manage relationships with outside counsel for commercial and M&A activity and oversee billable hours. - Oversee real estate transactions, including office leases and license agreements. - Provide guidance and advice on legal matters related to permits, contracts, and other regulatory issues. - Participate in legal due diligence for potential acquisitions and assist with contract drafting and document preparation. - Ensure compliance with privacy laws and other regulatory matters. - Manage budget for legal department. - Establish templates and processes for contract formation and review. - Develop and implement an annual strategic plan for the legal department. - Act as a liaison to insurance brokers and carriers for cyber insurance and other matters. - Create and maintain reports for the Executive Committee on legal issues. - Lead and manage members of the legal department and collaborate with other legal departments and executives. - Stay informed about legal and regulatory developments and trends. - Act as Corporate Secretary for board meetings. - Manage oversight and compliance for leases, agreements, and other commercial arrangements. - Manage corporate finance documents. - Other duties as needed.
Requirements:
- Juris Doctor Degree and membership in the CT Bar Association. - 7-15 years of corporate law practice with a focus on transactional commercial law. - Experience negotiating contracts and closing deals. - Experience leading M&A activity and dealing with complex deal structures. - Knowledge of intellectual property issues.
