GCM Shareholder Representative - Representing Private Target M&A Transactions in Global Capital Markets (GCM)
Overview: The GCM Shareholder Representative works to represent the interests of selling shareholders during the post-closing indemnification period of private target M&A transactions. This role involves managing dispute issues, cultivating client relationships, and developing processes and controls within the business line. The successful candidate will have strong problem-solving skills, be team-oriented, and possess excellent communication and analytical skills.
Responsibilities: - Monitor multiple M&A transactions and handle indemnification claims and disputes within set timelines - Cultivate relationships with current and prospective clients and referral sources to uncover new business opportunities - Review and provide feedback on acquisition agreements, including merger and stock purchase agreements - Serve as the main point of contact for important clients, outside counsel, and opposing counsel in M&A transactions - Draft correspondence, including acceptance or objection to claims and disputes - Participate in sales calls and prepare fee proposals for new business opportunities - Provide coverage and support for other Shareholder Representative colleagues as needed - Adhere to the company's risk and regulatory standards and identify any risk-related issues - Promote diversity and uphold the M&T Bank brand - Maintain internal control standards and address any audit points or regulatory issues
Scope of Responsibilities: This role requires a dedicated and detail-oriented individual to handle unique and high-stakes issues in the Shareholder Representative business line of the Mergers and Acquisitions group within Global Capital Markets (GCM). The successful candidate must possess strong problem-solving skills, the ability to manage multiple tasks, and a focus on building client relationships.
Education and Experience: - Juris Doctorate (JD) degree and at least 1 year of paralegal experience, or equivalent combination of education and experience - Strong problem-solving skills - Team-oriented mindset - Excellent communication skills, both verbal and written - Strong analytical and strategic thinking skills - Experience managing multiple tasks under tight deadlines - Ability to take ownership of issues and see them through to resolution
Preferred Education and Experience: - Minimum of 2 years of legal and/or litigation experience - Knowledge of mergers and acquisitions, tax, life sciences, or intellectual property - Proficiency with relevant spreadsheet software
Physical Requirements: This job may require sitting for extended periods of time and may involve some travel.
Salary Information: M&T Bank is committed to fair and competitive pay for our employees. The pay range for this position is $71,985.72 - $119,976.20 Annual (USD), with the specific pay range varying based on location. The successful candidate's compensation will be determined based on their knowledge, skills, and experience.
