Responsibilities: • Provide legal advice and counsel to clients on corporate and transactional matters, including contract interpretation and negotiation; • Represent clients in corporate, business and real estate transactions; • Draft and review contracts, including corporate governance documents, shareholder agreements, LLC operating agreements, and purchase and sale agreements; • Assist clients with business formation, structuring, and compliance; • Represent clients in mergers and acquisitions; • Advise clients on business and real estate law matters; • Advise clients on corporate governance, including strategic planning and implementation of corporate policies; • Assist with due diligence review; • Prepare and review legal documents; • Negotiate and resolve disputes; • Manage client relationships; and • Assist with other matters as needed.
Qualifications: • Licensed to practice law in Virginia; • 5 years of corporate law experience; • Experience in business formation, structuring, and compliance; • Ability to manage multiple projects and deadlines; • Excellent research and writing skills; • Strong interpersonal and client relationship skills; and • Ability to work independently and in a team environment.

This is a partner or of counsel position in the firm’s Virginia Beach, Chesapeake or Suffolk offices depending on the applicant’s preference.
