Job Description
Job title: Corporate and Securities Counsel Experience: Minimum 5 years law experience, preferably corporate, including at least 2 years securities law and public company experience. Location: Florham Park, NJ (Remote candidates may be considered)
**MEMBERS ONLY**SIGN UP NOW*** is seeking a talented attorney to serve as the principal Corporate and Securities Counsel for the company. This is a hybrid position based in Florham Park, NJ with the possibility of remote work for qualified candidates. The selected candidate will work closely with the General Counsel and other teams to provide legal support for the company's commercial, securities, and corporate governance matters.
Key Responsibilities:
- Managing day-to-day commercial contracting needs and overseeing the work of the Senior Contracts Manager - Assisting in the preparation of SEC filings and other securities-related documents - Advising on public disclosures, corporate governance, and other public company obligations - Researching and staying up-to-date on corporate and securities laws and best practices - Providing legal advice and support for company stock plans, executive compensation, and other corporate matters - Collaborating with other teams on projects and initiatives - Engaging and managing external counsel as needed
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school - Minimum 5 years of law experience, with at least 2 years in corporate and securities law - Combination of law firm, in-house, and biotech/pharma experience preferred - Licensed to practice law in a U.S. jurisdiction, with ability to obtain a license in New Jersey - Excellent communication skills, both written and oral - Positive attitude, high energy, and desire to contribute to the company's growth - Strong organizational skills and ability to manage multiple projects simultaneously - Familiarity with public company reporting processes and procedures - Attention to detail and ability to maintain confidentiality - Strong client relationship building skills - Knowledge of managed markets, payer and PBM contracting, and government pricing a plus
Salary Information: The salary range for this position is $230,000-270,000 annually.
Experience Information: The ideal candidate will have a minimum of 5 years of law experience, preferably in a corporate setting with at least 2 years of experience in securities law and public company matters.
Location Information: This position is based in Florham Park, NJ, but remote candidates may be considered.
