Corporate Transactional Paralegal: Salary, Job Title, and Experience Information
- Salary: The pay range for this position in the State of California is $83,000 - $167,000, based on market location and candidate's skills and experience. - Job Title: Corporate Transactional Paralegal - Experience: Bachelors' degree or equivalent experience preferred, Paralegal certificate and at least 10 years' experience in project finance and corporate transactional law. - Department: Legal - Law Firm: **MEMBERS ONLY**SIGN UP NOW***
Specific Job Duties:
- Drafting legal documents such as Operating Agreements, Bylaws, Certificates of Incorporation, and Financing Documents. - Preparing structure charts and steps memos. - Compiling final closing book and drafting necessary stock certificates for Mergers and Acquisitions and corporate refinancing/restructuring deals. - Filing and obtaining employer and tax identification numbers. - Managing preparation, assembly, and compilation of documents for closing. - Conducting lien and litigation searches and analyzing results. - Maintaining and updating corporate records and minute books. - Researching and analyzing legal sources. - Communicating regularly with attorneys and clients. - Managing inventory of closed transaction documentation. - Downloading, organizing, and inventorying due diligence documentation. - Distributing draft documents to opposing counsel and clients. - Developing and maintaining positive relationships with clients, title insurance companies, closing agents, and other outside vendors. - Occasional travel to attend closing dinners and other client events. - Training incoming associates and summer associates. - Supervising case assistants and junior paralegals.
Position Requirements:
- Bachelors' degree or equivalent experience preferred. - Paralegal certificate and at least 10 years' experience in project finance and corporate transactional law. - Strong knowledge of Mergers and Acquisitions and Project Finance Transactions. - Ability to work longer hours during peak workload periods or fast-moving transactions. - Strong organizational and communication skills.
Normal Work Hours:
- Hybrid position, non-exempt, eligible for overtime compensation. - Regular office hours are 8:30 - 5 p.m., Monday through Friday. - Ability to work longer hours during peak workload periods or fast-moving transactions.
