Corporate Paralegal (Hybrid: Onsite and Remote Work) - Rosemont, Illinois Salary Range: $75,000 - $120,000 Full-time position with generous opportunities for remote work

The Corporate Paralegal will play a crucial role in the Corporate Legal team, ensuring consistent, accurate and timely service. Working closely with the Associate General Counsel, Corporate, this individual will handle corporate governance matters, public company reporting, and managing a large US corporate structure. This is a Hybrid position, meaning three days per week will be spent onsite in Rosemont, Illinois, with the rest of the week being remote.
Responsibilities:
- Coordinate and prepare materials for shareholder, board and committee meetings using Diligent platform - Assist with SEC filings and NYSE reporting obligations, including periodic reports and proxy statements - Manage quarterly dividend payments and maintain insider trading policies and participant lists - Handle documentation and maintenance of corporate policies required by SEC or NYSE - Responsible for formation and dissolution of corporate entities and general subsidiary maintenance - Establish and maintain document management system for all corporate entities - Manage Board and officer administration matters, such as non-employee director compensation and annual Director and Officer Questionnaires - Support transactions and financial restructurings related to securities law and corporate governance compliance
Qualifications:
- Minimum four-year college degree and relevant work experience or paralegal certificate strongly preferred - Minimum ten years of experience as a Paralegal, with ten years in public company and securities experience - Highly organized and detail-oriented with strong corporate paralegal background - Proficient in Microsoft Office tools, Workiva, Diligent, and other software programs - Professionalism and discretion when interacting with directors and senior management - Excellent verbal and written communication skills with ability to work under deadlines in a fast-paced environment
Compensation:
