Corporate Counsel – Business Operations | St. Louis Park, MN | Full-time
The Corporate Counsel – Business Operations will provide legal support to the overall business of Two Harbors in various contractual and business matters. This role will join the company’s in-house legal department and provide legal counsel ranging from day-to-day tasks to the support of larger strategic transactions and initiatives. The ideal candidate will enjoy working in a dynamic environment, demonstrate an ability to learn about the company’s business and take on new challenges, possess strong critical thinking and analytical skills, and offer creative and pragmatic solutions with respect to legal and business issues.
Responsibilities:
- Provide legal support for the company’s existing secured financing facilities and securitization structures and ensure ongoing compliance with applicable terms and covenants - Establish new secured lending facilities and other financing arrangements - Assist with the company’s mortgage servicing and origination activities, including drafting and negotiating term sheets, purchase and sale agreements, engagement letters, custodial agreements, and various related documents - Draft and negotiate trading agreements including MRAs and MSFTAs and tracking of material terms - Provide legal support for other corporate and business initiatives as necessary
Qualifications:
- JD from an ABA accredited law school and excellent academic credentials - State Bar membership in one or more states - 3-5 years of corporate and/or transactional law experience - Strong legal and technical skills in drafting and negotiating contracts - Experience with structured finance transactions - Excellent oral and written communication skills - Attention to detail and ability to analyze complicated legal concepts - Ability to work effectively in a fast-paced, dynamic and complex environment - Versatility, maturity and ability to work both independently and as part of a team
We offer a competitive salary range of $90,000-$170,000, as well as a comprehensive benefits package including medical/dental/vision insurance, life/disability insurance, 401(k) with company matching, and generous vacation/paid time off.
