- Seeking a corporate securities and governance attorney to join its team of legal professionals at **MEMBERS ONLY**SIGN UP NOW*** - Responsible for providing significant support with respect to 1933 Act, 1934 Act and corporate governance matters. - Must be detail-oriented and have the ability to work independently while managing multiple priorities and deadlines. - Will report to a senior corporate attorney.
Responsibilities:
- Assist with the preparation and filing of various filings with the U.S. Securities and Exchange Commission. - Provide counsel in the areas of capital markets transactions and corporate finance matters. - Handle corporate governance matters. - Assist in developing and maintaining policies and procedures to ensure compliance with SEC and NYSE rules and regulations. - Draft and negotiate a wide array of general corporate agreements.
Qualifications:
- JD from an ABA accredited law school and excellent academic credentials. - State Bar membership in one or more states. - 4-7 years of relevant corporate law experience, with an emphasis in securities and corporate governance matters. - Versatility, maturity and ability to work both independently and as part of a team. - Excellent oral and written communication skills.
