ROLE: COMPANY SECRETARY AIB GROUP (UK) PLC
LOCATION: St Helens, 1 Undershaft, London EC3A 8AB, United Kingdom (and working from home)

WE'RE LOOKING FOR SOMEONE WHO:
*Is professionally qualified, experienced and wants to play a central role in the corporate governance of our bank and in the ongoing development of a small, excellent team. *Can fulfil the end to end role of Company Secretary to the AIBUK Board (regulated by the PRA and FCA), Board Committees and UK subsidiary entities ensuring alignment with best practice, statutory requirements, strategic priorities and governance considerations. *Has the experience to act as a trusted advisor on corporate governance arrangements and statutory duties to the Chair, Deputy Chair and Managing Director and AIBUK Leadership Team. *Has experience of working in a regulated business with knowledge of the SMCR Regime. *Can stay updated on corporate governance and regulatory developments of relevance to the role, ensuring UK legal entities remain in compliance with all codes, regulations, and statutory requirements of relevance and the Company's Articles of Association. *Can lead and develop the UK Corporate Governance team and individuals to ensure skills and accountabilities are appropriate and maintained in line with industry best practice. *Has strong stakeholder management skills and works collaboratively with internal and external stakeholders. *Embeds best practice and simplification, where possible.

This role is for AIB UK, a growing UK specialist bank, servicing retail, SME and corporate customers in Great Britain and Northern Ireland. In Great Britain, we mainly concentrate on corporate banking. In Northern Ireland, we offer business banking, personal banking and mortgages.

DOES THIS SOUND LIKE SOMETHING THAT YOU WANT TO BE PART OF?
YOU WILL NEED TO SHOW US THAT YOU HAVE:
*A relevant financial or legal degree and / or professional qualification of Chartered Secretary, Accountant, Solicitor or Barrister. *Experience as a Company Secretary of a regulated organisation or other relevant corporate governance or company secretarial experience with proven capability of effectively managing internal and external stakeholders at all levels in the organisation. Experience gained over 5 years part of which is at least at Deputy Secretary level. *Proficient working knowledge of the Companies Act 2006. *Credibility, gravitas, leadership and influencing skills. *Strong communication (both oral and written) and relationship management skills. *Business leadership experience in a regulated environment. *Proven ability to lead and engage teams and operate as part of a broader senior leadership team and that you are energised through talent development and innovative mind-sets.
