Associate General Counsel - Global Compliance
Duties: Support the General Counsel, Ethics and Compliance Committee, Enterprise Risk Management Committee, ESG Committee, Board, and Audit Committee in providing legal advice and assurance to the company in relation to various legal compliance and reputational risk management matters to include anti-bribery and corruption, financial crime, competition/antitrust, conflicts of interest, privacy, ESG initiatives and other compliance risk areas as appropriate. The Associate General Counsel will work within the Legal function, embedding company’s culture of Doing the Right Thing across the company. The Associate General Counsel is an effective leader of global programs that involve complex interdependencies of support service firms, vendors and customers to ensure that objectives are met in the most cost-effective manner, attuned to company values. This role is responsible for the correct prioritization of resources in the execution of the functions, so that truly material matters receive the appropriate allocation of time, talent and treasure, while less material matters are dealt with as efficiently as possible. Lead, continue to build, and manage “best in class” global compliance, regulatory and ethics programs. Drive the effective execution of the ethics and compliance program, including monitoring and auditing anti-corruption controls and policies, directing diligence of third parties, managing gifts and entertainment requests, participating in internal investigations, and providing training and communications. Develop policies and procedures, to detect and deter illegal, unethical, or improper conduct and to appropriately disclose risks. Provide high quality, practical and commercial advice/guidance regarding legal compliance risk areas and reputational risk management issues to a range of stakeholders within the company's global organization. Regularly review - and, as necessary, draft and implement - policies, procedures and other internal guidance to ensure they reflect any updates to relevant local laws and address priorities within the ethics and compliance program. Work to identify compliance and regulatory risks proactively and mitigate risks effectively. Conduct regular interviews and visits of company’s offices to ensure consistency of approach to legal compliance issues across the company. Identify, develop and implement enhancements to improve the effectiveness of various aspects of the ethics and compliance program. Provide input and implement process improvements based on the assessment of metrics, ethics survey results, audit results and other sources to enhance service quality and improve overall results. Drive expansion of the use of automated systems to implement controls and process requests and approvals. Working closely with Enterprise Risk Management Committee, continue to design and lead risk assessments to identify risk, ensure appropriate controls are in place relating to compliance and regulatory risks, evaluate compliance controls, regularly monitor and test relevant controls. Analyze data and participate in ethics and compliance risk assessments and related remediation efforts. Manage 3rd party risk management program, including diligence, risk assessment and audit. Provide reports to the Executive team and Board of Directors regarding compliance and regulatory matters, initiatives and risks. Lead or support compliance related investigations (including government inquiries and whistleblower claims). Review of activities and transactions to ensure that business is being conducted in an ethical and compliant manner and that policies and procedures are followed to reduce the risks of non-compliance with laws, regulations and reputational risk. Act as an adviser to employees on ethical matters relating to the company’s code of conduct and other compliance policies. Advise the company’s executive management and local business units on the implementation of compliance programs. Continue to increase awareness and promote a culture of compliance and integrity throughout the organization and regularly report to General Counsel and the company’s management on the progress. Provide leadership, training and coaching to meet corporate and department objectives in harmony with the company’s stated values, Code of Conduct and objectives. Develop and lead productive and collaborative work teams/relationships both intra-departmentally and interdepartmentally with the goals of talent development, EBITDA attainment, efficiency creation, and enhanced communication.
