Our team is committed to excellence, innovation, and client satisfaction. We are currently seeking a highly qualified and experienced Transactional Attorney to join our dynamic team.

Job Summary: The ideal candidate will be a skilled transactional attorney with a minimum of 3 years of relevant experience in real estate and business transactions. The candidate must be licensed to practice law in Texas and possess a strong understanding of Texas laws and regulations.

Key Responsibilities:

Real Estate Transactions:

Represent buyers, sellers, and lenders in real estate transactions.
Structure deals and provide strategic advice on complex transactions.
Handle syndications and fund creation.
Advise on alternative financing options.

Business Transactions:

Assist with corporate structuring and governance.
Ensure compliance with regulatory and administrative requirements.
Manage mergers and acquisitions.
Provide counsel on Reg A , 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
Facilitate entity formation.
Review, create, and negotiate contracts.

Qualifications:

Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in Texas.
Minimum of 3 years of relevant experience in real estate and business transactions.
Proven experience in deal structuring, syndications, and fund creation.
Strong knowledge of corporate structuring, governance, and compliance.
Familiarity with mergers and acquisitions, Reg A , 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
Excellent contract review, creation, and negotiation skills.
Strong analytical and problem-solving abilities.
Exceptional interpersonal and communication skills.
Ability to work independently and as part of a team.
High level of professionalism and integrity.

Preferred Skills:

Experience with alternative financing.
Knowledge of Texas-specific real estate and business laws.
