Job Description
SUMMARY: Directs activities concerned with contracts for purchase or sale of products or services. Negotiates, modifies and reviews contracts. Examines performance requirements, delivery schedules, and estimates of costs to ensure completeness and accuracy. Prepares bids, process specifications, test and progress reports, and other exhibits that may be required. Reviews bids from other firms for conformity to contract requirements and determines acceptable bids. Negotiates contract with customer or bidder. Requests or approves amendments to or extensions of contracts. Advises planning and production departments of contractual rights and obligations. May compile data for preparing estimates. Works with the Business Development team in establishing agreements that reflect the interests of partners and the company. Also works with outside legal counsel when drafting licensing agreements. Ensures contract performance and rewrites or amends as necessary. A Juris Doctor (JD) degree is strongly preferred to ensure comprehensive legal expertise in contract negotiations and compliance. Minimum of 5 years experience required.

ESSENTIAL DUTIES AND RESPONSIBILITIES include but are not limited to:

o Supervises the staff of the Contracts Department. Is responsible for the overall direction, coordination and evaluation of this unit. Carries out supervisory responsibilities in accordance with the organization’s policies and applicable laws.

o Performs review and preparation of routine contract documents in accordance with corporate policy.

o Reviews complex solicitations and prepares specialized and/or non-routine response for proposals, bids, and contract modifications.

o Analyzes significant, and/or unique contract requirements, special provisions, terms, and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit procedure and communicates results to subordinates.

o Advises in negotiation strategy and participates on negotiation team on complex contractual issues.

o Analyzes new law, regulation, and contract trends for potential impact on business unit goals and objectives.

o Provides guidance to internal business teams on corporate goals and objectives relating to contract activity.

o Focal point for all communication with law, finance, and business team disciplines for resolution of contract issues and disputes.

o Assists in identification, development and implementation of new contract policy and processes.

o Have a general understanding of the business case and an appreciation of financial/analytical issues and profit and loss implications.

o Prepares and administers routine correspondence, negotiation memoranda, and contract documentation to ensure timely and coordinated submittal.

o Prepares, organizes, and maintains contract records and files documenting contract performance and compliance.

o May conduct research to support contract audit and or facilitate business unit contracting trends.
